Data room

Documents and folders, and a full activity log of who did what.

The Index group holds the data room itself — the documents a deal is actually built on — and a complete activity log of everything that happens to them.

Data room

The data room is a folder structure — typically split by domain, such as Legal, Financial, HR, and TX — where every document for the deal is uploaded, organized, and reviewed. Folder-level permissions control who can see what, so a buyer's Legal team can be given access to the Legal folder without seeing HR records, for instance.

Every file uploaded gets read and summarized automatically, so nothing sits in the room unreviewed while a deal is under time pressure — a document is available for Q&A and analysis effectively as soon as it lands.

Activity log

The activity log records every meaningful action in the workspace — a document viewed, downloaded, or printed, a question answered, a finding acknowledged — with who did it and when. This is the audit trail a deal team relies on when a buyer's counsel asks “who has seen this document, and when.”
